PROMOTION DESCRIPTION: The “BUTTER + BROWN GUEST” Ramen/Instant Noodle Sweepstakes (“Sweepstakes”) starts at 7:45 p.m. Eastern Time (“ET”) on October 1, 2019, and ends at 11:59 p.m. ET on November 19, 2019 (“Sweepstakes Entry Period”). Sponsor’s computer is the official clock for this Sweepstakes. The sponsor of this Sweepstakes is Aspire Channel, LLC, 2077 Convention Center Concourse, Suite 300, Atlanta, GA 30337 (the “Sponsor”). Instagram is not a sponsor of this Sweepstakes and do not endorse, administer or otherwise have any association with this Sweepstakes. Entrants are providing information to Sponsor and not to Instagram. The Sweepstakes shall be subject to these “Official Rules,” and by entering, all participants agree to be bound by the terms and conditions herein.
ELIGIBILITY: THE SWEEPSTAKES IS OPEN ONLY TO LEGAL RESIDENTS OF THE FORTY-EIGHT (48) CONTIGUOUS UNITED STATES AND THE DISTRICT OF COLUMBIA WHO, AT TIME OF ENTRY, ARE EIGHTEEN (18) YEARS OF AGE OR OLDER, AND HAVE INTERNET ACCESS. THIS SWEEPSTAKES IS VOID OUTSIDE THE AREA SPECIFIED ABOVE AND WHERE PROHIBITED BY LAW. Entrants must be currently enrolled in a college recognized as one of the historically black colleges and universities (“HBCUs”) by the National Center for Education Statistics, with a valid college/university identification credential. Employees and family members of Sponsor, its affiliates, subsidiaries, parent companies and agencies, employees and family members of One Bite Productions (“Producer”), cast and other crew members associated with the series “Butter + Brown” (the “Series”) (collectively, the “Promotion Parties”) and those living in the household of same (whether related or not) are not eligible to enter or win. If you are a minor as defined by the laws of your state of primary residence (“Minor”), you must have the permission of your parent/legal guardian (“Parent”) to enter this Sweepstakes.
HOW TO ENTER: During the Sweepstakes Entry Period, entrants may post an original photo featuring a dish created from an original recipe featuring ramen/instant noodles as a main ingredient on the entrants’ public Instagram page. Entrants may post more than once, but each entry must contain a separate and unique photo entry from a separate and unique recipe. Posts must tag @aspiretv and use the hashtag #BandBnoodlechallenge. All Posts are collectively referred to herein as an Entry. No Entry can contain material that is inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous or libelous, or contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age. Sponsor reserves the right to delete any Entry that contains any such material. Entries must be an original creation of the Entrant and must not have been submitted as an entry to any prior sweepstakes or contest.
All Entries must comply with the Instagram Terms of Use available on the Instagram application and at www.instagram.com (as applicable). By completing the foregoing during the Sweepstakes Entry Period, you will be entered into the Sweepstakes and each individual submitting such Entry shall be an “Entrant.”
Sponsor shall have the right to disqualify any Entries that Sponsor has determined, in its sole and exclusive opinion, fail to adhere to these Official Rules, the Instagram Terms of Use, expose Sponsor to any unacceptable degree of technical, legal, or financial risks or problems, uses text and/or other components in a manner objectionable to Sponsor or its affiliates, or is otherwise deemed inappropriate, all as determined by Sponsor, in its sole discretion (including, but not limited to, content deemed by Sponsor which contains violence, is sexually explicit or otherwise offends or denigrates any group or class of people or could reflect unfavorably on any of the Releasees (as defined below) or which defames or invades the publicity or privacy rights of any person, living or deceased, or otherwise infringes upon any person’s or entity’s personal, commercial, or proprietary rights). Sponsor, in its sole discretion, may accept a technically incorrect Entry. Sponsor’s decisions are final and binding with respect to all matters relating to this Sweepstakes.
All Entries become the exclusive property of Sponsor, and none will be acknowledged or returned. Sponsor shall have the right to edit, adapt, and publish any or all of the Entries and may use them in any and all media, now known or hereafter devised, throughout the world in perpetuity without attribution or compensation to the Entrant, his or her successors or assigns, or any other entity.
WAIVERS, DISCLAIMERS AND RELEASES: The Promotion Parties, Instagram, the cast and crew of the Series and any and all Internet server(s) and access provider(s), application hosts and facilitators and cellular provider(s), and each of their respective affiliates, subsidiaries, parent corporations, and advertising and promotional agencies, and all of their officers, directors, members, shareholders, employees, and agents (collectively,“Releasees”) are not responsible for any incorrect or inaccurate entry information; human errors; technical malfunctions; failures, omissions, interruptions, deletions or defects of any telephone network, computer online systems, computer equipment, servers, providers, or software, including, without limitation, any injury or damage to Entrant’s or any other person’s computer or mobile device relating to or resulting from participation in the Sweepstakes; inability to access the site for Entry, Entry Platforms or any web pages thereof; inability to connect to or upload to the Entry site or Entry Platforms; theft, tampering, destruction, or unauthorized access to, or alteration of, entries; data that is processed late or incorrectly or is incomplete or lost due to telephone, computer, or electronic malfunction or traffic congestion on telephone lines, mobile networks, or the Internet or any application or website (including the Entry Platforms) or for any other reason whatsoever; mail that is late, lost, mutilated, misdirected, stolen, or postage due; typographical, printing, or other errors; or any combination thereof. Proof of submitting information to Instagram or Twitter is not considered proof of delivery or receipt. Illegible, incomplete, and mechanically reproduced Entries will be disqualified. False, fraudulent, or deceptive Entries or acts shall render Entrants ineligible. Any damage made to the Entry Platforms will be the responsibility of the authorized account holder of the e-mail address for the Entry Platform account submitted at the time of Entry. The Sweepstakes shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state, province, territory or federal laws. By entering the Sweepstakes, Entrants hereby submit to the jurisdiction and venue of the federal and state courts of Fulton County, Georgia and waive the right to have disputes arising out of the subject matter hereof adjudicated in any other forum.
Entrants release and waive any claims they may have against Releasees for any and all injuries, claims, damages, losses, costs, or expenses of any kind (including, without limitation, attorney’s fees) resulting from acceptance, use, or misuse of any prize or any element thereof or from participation in this Sweepstakes. The releases hereunder are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of laws requiring the intent to release future unknown claims.
PRIVACY POLICIES: Any personal information supplied by any Entrant to Instagram will be subject to such entities’ privacy policies accessible at http://instagram.com/about/legal/privacy/. Personal information supplied by Entrants will also be subject to the Sponsor’s privacy policy available at http://4thpark.aspire.tv/privacy-policy.
WINNER SELECTION AND NOTIFICATION: A panel of judges as determined by Sponsor will select three (3) finalists (“Finalists”) from among eligible entries, based on the following criteria:
- Creativity in dealing with subject matter – 40%
- Originality of recipe/photo composition– 20%
- Quality of photo – 20%
By November 22, 2019, the Finalists will be shared with the Series hosts, who will use the judging criteria above to select a winner (“Winner”). The Winner will be announced on @aspireTV’s Instagram page by November 26, 2019, and will also be contacted via Instagram Direct Message.
Finalists and/or Winner may be contacted by the Sponsor to provide additional documentation in connection with their eligibility under these Official Rules, their recipe, photo clearances, or other requested materials(collectively, “Prize Claim Documents”). Failure to fully complete, execute, notarize, and return all required Prize Claim Documents within the time period specified by Sponsor, may result in the Finalist and/or Winner being disqualified, and in the event of any such disqualification or any other disqualification permitted under these Official Rules, or in the event that any prize notification is returned as undeliverable for any reason, at Sponsor’s sole discretion, an alternate Finalist and/or Winner may be selected, or Sponsor may elect to not award the prize to anyone.
PRIZE/ODDS:
Prize: One (1) Winner shall receive a Butter + Brown prize pack, comprised of: an Aspire t-shirt, a $50 gift card to a rideshare service, a $100 Visa gift card, and a Butter + Brown tote bag. The specifics of the Prize shall be determined by Sponsor. Estimated Retail Value (“ERV”) of the Prize is One Hundred Eighty Dollars ($180).
The ARV stated above represents Sponsor’s good faith determination of the actual fair market value and, as ultimately determined by Sponsor, is final and binding and cannot be challenged or appealed. In the event that a stated ARV is more than the actual fair market value, the difference will not be awarded in cash or otherwise. The prizes are non-transferable and no substitution or cash equivalents will be made except as provided herein at the Sponsors’ sole discretion. The prize(s) may not be sold, bartered, or exchanged by the winner. The prize(s) may not be published, copied or replicated in any way by the winner or any other party. Sponsor reserves the right to substitute a prize (or a component thereof) for one of equal or greater value, if any prize should become unavailable for any reason. The prize restrictions/conditions stated herein are not all-inclusive and the prize described above may be subject to additional restrictions/conditions, which may be stated in the Prize Claim Documents.
All federal, state or local tax liabilities, if any, are the responsibility of the Winner. The ARV of the Prize is based on available information provided to Sponsor, and the actual value of the Prize may be reported for tax purposes as required by law.
Actual odds of winning a prize depend on the number of eligible Entries received during the Sweepstakes Entry Period. One prize per Entrant.
Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize furnished in connection with the Sweepstakes. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.
GENERAL CONDITIONS TO PARTICIPATION: Each Entrant represents that the Post submitted for this Sweepstakes are the Entrant’s original work and that Entrant has obtained all necessary licenses, approvals and consents to use and display the images and design in the Sweepstakes and on Sponsor’s websites and social media sites. Participation in the Sweepstakes constitutes Entrant’s consent to give Sponsor a royalty-free, irrevocable, transferable, assignable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such Entry, in whole or in part, on a worldwide basis, and to incorporate them into other works, in any form, media or technology now known or later developed, including for promotional or marketing purposes and constitutes permission for the Promotion Entities to use Entrant’s name, photograph, likeness, voice, Instagram user names, biographical information, statements and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation, notification, or permission unless prohibited by law. If requested, Entrant will sign documentation that may be required for Sponsor or its designees to make use of the non-exclusive rights Entrant is granting to use the Entry or any portion thereof.
EVENT OF FORCE MAJEURE: Releasees shall not be liable to a winner or any other person for failure to supply the Prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond Releasees’ sole control (each a “Force Majeure”). In the event of unavailability, no prize will be substituted.
GENERAL: If, for any reason, this Sweepstakes is not capable of running as planned or if this Sweepstakes or any application or website associated therewith (or any portion thereof), including, but not limited to, the Entry Form and Entry Platforms, become corrupted or do not allow the proper operation of the Sweepstakes and processing of Entries in accordance with these Official Rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, shutdown of the Instagram service, or any other causes, in the Sponsor’s sole opinion, corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor reserves the right, in its sole discretion, to disqualify any individual implicated in such action and/or to cancel, terminate, modify, or suspend this Sweepstakes or any portion thereof. The Releasees are not responsible for any changes or unavailability of the Entry Form and/or Entry Platforms that may interfere with the Sweepstakes (including any limitations, any restrictions or any conditions on Sponsor’s ability to use the Entry Form or Entry Platforms for the Sweepstakes as set forth herein that are not acceptable to Sponsor) or ability of Entrant to timely enter, receive notices, or communicate with Sponsor via the Entry Platforms, in which case Sponsor, in its sole discretion, may terminate or modify the Sweepstakes. In the event that this Sweepstakes is cancelled, Sponsor may, in its sole discretion, conduct a random drawing to award the prizes from among all eligible, non-suspect Entries received prior to the time of the action or event warranting such cancellation. Any attempt by an Entrant or any other individual to deliberately damage any application(s) (including the Entry Form or any Entry Platform) or undermine the legitimate operation of the Sweepstakes is a violation of criminal and/or civil laws, and should such an attempt be made, Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. In the event of a dispute concerning who submitted an Entry, the Entry will be declared to have been made by the authorized account holder of the Instagram account associated with the account for the potentially winning Entry (or, in the case of an Entry submitted using the Entry Form, the authorized account holder of the email address submitted with the Entry), but only if that person meets all other eligibility criteria. Each potential winner may be required to provide Sponsor with proof that he/she is the authorized account holder for the email address, Instagram account(s), as applicable, for the potentially winning Entry. If a dispute cannot be resolved to Sponsor’s satisfaction, the Entry will be deemed ineligible.
Note: Entry must be made by the Entrant only through the Entry Platforms or Entry Form. Entries made by any other individual or any entity, and/or originating at any other application or e-mail address, including, but not limited to, commercial contest or sweepstakes subscription notification and/or entering service sites, will be declared invalid and disqualified for this Sweepstakes. The use of any device or computer software or bot to automate the entry process is prohibited.

MISCELLANEOUS: The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Sponsor reserves the right to modify these Official Rules provided that such modifications do not materially alter the Sweepstakes. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event that there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials, privacy policy, or terms of use on the Entry Platforms, and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern, and control, and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.
